Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of FocusOps, including our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Beta Program

FocusOps is currently in beta. By participating in our beta program, you acknowledge and agree that:

• The Service may contain bugs, errors, or incomplete features
• We are actively developing and may make frequent changes to features and functionality
• You may provide feedback, which we may use without compensation or attribution
• Beta pricing and features are subject to change upon official release
• We will make reasonable efforts to maintain data integrity, but recommend keeping backups of critical information

User Accounts

Account Creation

To use FocusOps, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Be at least 13 years of age (or age of digital consent in your jurisdiction)

Account Termination

You may terminate your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in abusive, fraudulent, or illegal behavior.

Subscription and Payments

Pricing Plans

FocusOps offers various pricing plans, including free and paid tiers. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your chosen plan
• Provide current, complete, and accurate billing information
• Update your information to maintain validity of payment methods
• Understand that subscriptions renew automatically unless cancelled

Free Trials

We offer a 7-day free trial for paid plans. During the trial:

• You have full access to Pro features
• You will not be charged during the trial period
• You may cancel anytime before the trial ends without charge
• After the trial, your subscription will automatically begin unless cancelled

Refunds and Cancellations

You may cancel your subscription at any time. Cancellation policies:

• Monthly subscriptions: Access continues until the end of the current billing period
• Annual subscriptions: Prorated refunds available within 30 days of purchase
• Lifetime memberships: Refundable within 30 days of purchase
• No refunds for partial months or unused services

Price Changes

We reserve the right to modify pricing. Beta users receive a price lock guarantee—your rate will not increase while you maintain continuous service. We will provide 30 days' notice for any price changes affecting new subscriptions.

Acceptable Use

You agree not to use FocusOps to:

• Violate any laws or regulations
• Infringe upon intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Scrape, data mine, or use automated tools without permission
• Share your account credentials with others
• Use the Service for any fraudulent or abusive purpose
• Impersonate others or misrepresent your affiliation

Your Content

Ownership

You retain all rights to the content you create, upload, or store in FocusOps ("Your Content"). This includes your tasks, projects, notes, files, and all other data.

License to Us

By using FocusOps, you grant us a limited license to:

• Store, process, and display Your Content to provide the Service
• Use AI to analyze Your Content for features like prioritization and planning (all processing is temporary and secure)
• Back up Your Content for data protection purposes

We will never sell Your Content or use it for purposes beyond providing and improving the Service. We do not use Your Content to train AI models.

Your Responsibilities

You are responsible for:

• Ensuring you have rights to all content you upload
• Maintaining backups of critical information
• The accuracy and legality of Your Content
• Compliance with all applicable laws regarding Your Content

Intellectual Property

The Service, including its design, features, software, and content (excluding Your Content), is owned by FocusOps and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Third-Party Services

FocusOps may integrate with third-party services (e.g., calendar syncing, payment processors). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their availability.

Disclaimers and Limitations of Liability

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOCUSOPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers or your data
• Any bugs, viruses, or harmful code transmitted through the Service
• Any errors or omissions in content or data

Indemnification

You agree to indemnify and hold harmless FocusOps and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

Governing Law and Dispute Resolution
